Limitation of Liability

Kweedee Ltd endeavours to ensure the accuracy of the information published on this website. However, we cannot be held liable for errors, omissions, or results obtained from the use of such information.

This website may contain links to third-party websites. Kweedee Ltd has no control over the content or practices of those websites and accepts no responsibility for them.

Governing Law

These legal notices are governed by Irish law. Any dispute shall be subject to the exclusive jurisdiction of the Irish courts.

Web Service Agreement

This agreement applies to all clients who engage Kweedee Ltd for the creation and hosting of their website. The services of Kweedee Ltd are offered exclusively to professional clients acting for purposes relating to their trade, business or profession. By ordering, the client represents and warrants that it acts in a professional capacity and not as a consumer, and consumer-protection rules, including any right of withdrawal, do not apply.

1. Set-up Fee (design, personalisation, configuration and go-live)

Kweedee Ltd designs, personalises, configures and brings online a custom website for the client. The set-up fee is €490, excluding VAT, payable upon approval of the completed website. A free mockup is provided before any payment is due. This fee remunerates the analysis of the client's needs, the design and personalisation of the website, its configuration, the adjustments included during the validation phase, and its go-live. It does not constitute a sale of the website and transfers to the client no ownership of the website, its source code, templates, technical components, tools or infrastructure, which remain the exclusive property of Kweedee Ltd. For the duration of the subscription, the client is granted a right to use the website as set out in Article 5.

2. Monthly Subscription

Upon approval of the website, the client agrees to pay €29 excluding VAT per month, billed automatically, with no minimum commitment and no lock-in period.

3. Domain Name

As a rule, the client purchases and maintains its own domain name and remains its holder (registrant), and Kweedee Ltd connects the client's website to that domain. Exceptionally, in particular where the client encounters technical difficulties or expressly requests it, Kweedee Ltd may purchase, register or manage the domain name on the client's behalf, the client remaining the holder wherever technically possible. Kweedee Ltd may bear the initial cost of the domain as part of its commercial offer; this does not amount to a transfer of the website, its source code or the hosting, and does not create any permanent obligation on Kweedee Ltd to pay future renewals. Kweedee Ltd charges no fee and applies no exit penalty for the mere return or transfer of the domain name to the client; where necessary, the client shall cooperate, create an account with a registrar, and provide the information and validations required. Fees may however be charged directly by the domain provider, the registrar or the new provider chosen by the client (for example domain renewal, an additional year sometimes required on transfer, restoration after expiry, additional options or provider-specific fees); such fees are set by the third party, are not charged by Kweedee Ltd, are payable by the client and may vary. Kweedee Ltd does not guarantee that a transfer will always be entirely free on the provider's side.

4. Cancellation

The client may end their subscription at any time, directly from their client area. The cancellation takes effect at the end of the current monthly billing period, which has already been paid for. No notice period and no written request are required, and no further payment will be taken.

5. Intellectual Property and Right of Use

The website source code, templates and technical components remain the exclusive intellectual property of Kweedee Ltd and are not transferable under any circumstances. For the duration of the subscription and subject to payment of all sums due, Kweedee Ltd grants the client a non-exclusive, non-transferable right to use the website published on its behalf. This right of use ends automatically upon termination of the subscription.

6. Consequences of Termination

Upon cancellation, the client's right to use the website ends and the website is taken offline at the end of the paid period. Termination entails no transfer of the source code, templates, technical components or hosting, which are not handed over to the client. The client's own content (in particular its trademark, logo, photographs, texts and other documents provided by the client) remains the client's property. The domain name remains held by the client, or is returned or transferred to the client under Article 3; the return of the domain name does not entail the transfer or continuation of the website, the handover of the source code, or the transfer of the hosting.

7. Payment Activation

A free mockup is provided to the client before any payment is due. No payment is charged until the client has explicitly approved the completed website. Upon approval, the creation fee of €490 excluding VAT is due, and the monthly subscription of €29 excluding VAT per month begins automatically.

8. Service Availability and Force Majeure

Kweedee Ltd endeavours to maintain continuous website availability. In the event of downtime caused by third-party infrastructure failures, Kweedee Ltd will apply a pro-rata credit to the affected month's invoice. Kweedee Ltd cannot be held liable for service interruptions caused by factors beyond its reasonable control.

9. Client-Provided Content

The client is solely responsible for all content submitted to Kweedee Ltd for use on their website. By submitting content, the client warrants that they own or hold the necessary rights, the content does not infringe any third-party rights, and the content is not defamatory or illegal. Kweedee Ltd publishes client content in good faith and cannot be held liable for any legal claims arising from content provided by the client.

10. Website Translations

Up to 2 additional language translations are included in the standard monthly subscription at no extra cost, for a total of up to 3 languages. If the client requires more than 2 additional translations, a separate quote will be provided.

11. Custom Email Address

A personalised professional email address (such as contact@yourbusiness.com) requires the client to own their domain name. The client is solely responsible for purchasing their domain and for creating and managing their professional email address. Kweedee Ltd provides no support for email account setup or management. However, if the client wishes to connect their professional email address to the website contact form, they simply need to provide Kweedee with the email address and we will make the necessary technical update, covered by the monthly update.

12. Conditional Delivery Timeline

The 5 business day delivery timeline begins upon receipt of all required materials from the client. Any delay in providing these materials will postpone the delivery date accordingly.

13. Design Brief

Once the client has approved the website, Kweedee considers the design, structure, and content to meet the expectations expressed in the original brief. No refund may be requested on the basis of aesthetic preferences not mentioned in the original brief.

14. Scope of Monthly Update

The monthly update included in the subscription covers modifications to existing content: text, prices, opening hours, and the addition or replacement of photos. It does not include the creation of new pages, redesign, or structural changes. On the Standard plan the subscription includes one update wave per calendar month; a wave is a single request that may group several modifications submitted together. The Pro plan, at €69 excluding VAT per month, includes up to three waves per calendar month. Larger needs are covered by a custom Premium plan agreed with the client. Unused waves do not carry over to the following month.

15. Third-Party Integrations

Kweedee integrates third-party booking systems, forms, and widgets provided by the client as part of the standard service. Updates to these integrations are covered by the monthly update, provided the client supplies the new integration code.

16. Pricing Changes

Kweedee reserves the right to update its pricing with 30 days written notice. The client may cancel their subscription within that notice period if they do not accept the new pricing.

17. Access Security

The client is solely responsible for the confidentiality of their credentials and any access shared with third parties.

18. Revision Rounds

The service includes 2 revision rounds during the validation phase. Any additional round beyond the 2 included will be invoiced at €25 per round. The client's final approval marks the end of the revision phase.

19. Value Added Tax (VAT)

All prices are stated excluding VAT. VAT is applied in accordance with the applicable rules. (a) Clients established in Ireland: Irish VAT is added at the rate legally applicable at the time of invoicing. (b) Professional clients established in another EU Member State: where the conditions are met, in particular where the client provides a valid intra-Community VAT number, verified via VIES where required, the reverse-charge mechanism applies; the invoice bears the mention 'Reverse charge' (or the mention legally required) and the client must self-account for VAT in its own Member State. (c) No valid VAT number: if the client does not provide a valid and verifiable VAT number, or sufficient evidence of its professional status, Kweedee Ltd applies the VAT legally required and may request reasonable evidence of the client's professional and tax status. (d) Clients outside the EU: no automatic exemption applies; the tax treatment depends on the client's country and status, the nature of the service, the applicable Irish rules and any applicable local tax rules.

20. Governing Law, Jurisdiction and Language

This agreement is governed by Irish law. The Irish courts have jurisdiction over any dispute, subject to any overriding mandatory provisions of the country where the client is established. The English version of these Terms is the original reference version; in the event of any divergence with a translation, the English version prevails to the extent permitted by law.

Data Protection

When Kweedee processes personal data on behalf of the Client as part of the services (in particular the data of website visitors), that processing is governed by our Data Processing Addendum (DPA), which forms an integral part of these Terms. By accepting these Terms, the Client also accepts the DPA.

Cookies and Client Responsibilities

The websites delivered by Kweedee Ltd do not include third-party tracking scripts by default. If the client chooses to add tracking tools, the client is solely responsible for ensuring compliance with all applicable privacy laws and implementing a compliant cookie consent banner. Kweedee Ltd cannot be held liable for any breach arising from tools added by the client.
